BRIEF-Ruralco Holdings to buy Total Eden Holdings for A$57.4 mln

Feb 13 (Reuters) - Ruralco Holdings Ltd RHL.AX :

* Ruralco to aquire total eden RHL.AX

* Entered into share sale deed to acquire 100 percent of Total Eden Holdings

pty from Anchorage Capital Partners for purchase price of A$57.4 million

* To fund the acquisition, Ruralco has announced an accelerated

non-renounceable pro-rata entitlement offer to raise approximately A$43.8

million

* Says the acquisition of Total Eden is EPS accretive to Ruralco on a pro forma

FY 2013 basis, excluding synergies

* Expects to achieve pro-forma synergies of approximately $2 million to $3

million by FY 2015
