BRIEF-Hochtief AG intends to make $22.15 cash per share proportional offer for Leighton

March 10 (Reuters) - Hochtief AG HOTG.DE :

* Intention to make a proportional bid

* Intention to make a proportional offer to acquire 3 out of every 8 shares

held by Leighton shareholders for $22.15 cash per share

* If all Leighton shareholders accept offer, co will increase stake in Leighton

from 58.77 percent to maximum of 74.23 percent for total consideration of

about $1.16 billion
