Feb 11 (Reuters) - Orvana Minerals Corp ORV.TO :

* Highland to acquire orvana's copperwood project

* Says highland will pay Orvana up to US$25 million in aggregate

* Says deal for $25 million

* Will use the proceeds received from the divestment of copperwood to repay a

$2.7 million loan from co's majority shareholder

* Highland will pay Orvana $20 million in cash upon closing and $5 million will

be paid in cash or shares of highland

* Says the agreement has been approved by both companies' boards of directors.
