* Says terminated its conditional agreement with shale energy plc to sell its UK gas portfolio

* Says termination due to the failure of Shale Energy to complete a capital raising of 7 million pounds

* Says entered into a conditional heads of terms with its existing UK gas and petroleum joint venture partners

* Says will transfer its wholly owned UK subsidiary, Adamo Energy to UK Onshore Gas
