* To spin-out exploration assets into "kuro coal limited", which will be listed

via initial public offering in Q2 2014 under asx ticker code "kco"

* Says Atrum shareholders to receive 1 free kuro coal share for every 4

existing Atrum Coal shares held at the record date

* To raise between $6 million and $8 million via a public offer prospectus at

an issue price of 20 cents per share
