BRIEF-Alto to sell NSR Royalties on Windfall and Alcane properties to Virginia Mines

March 24 (Reuters) - Alto Ventures Ltd ATV.V :

* Agrees to sell its NSR Royalties on the Windfall and Alcane properties and

announces private placement

* Says to sell its underlying 0.5% NSR Royalty on the Windfall and Alcane

properties to Virginia Mines Inc

* Virginia Mines will also subscribe for non-brokered private placement in co

aggregating $250,000, at $0.15 per share

* Says in consideration for amount of $750,000 payable by issuance of common

shares in the capital of Virginia at per share of $13.00

* Proceeds of private placement will be used to advance diamond exploration on

co's properties in north-central Saskatchewan
